- You will be independently responsible for the corporate housekeeping of our group companies in Germany and abroad and strategically develop the underlying processes.
- You will be responsible for the master data under company law, prepare and coordinate complex resolution documents and ensure their legally compliant implementation.
- You will be responsible for compliant reporting to the Transparency Register and ensure compliance with the relevant legal requirements at Group level.
- You will independently manage national and international M&A projects from due diligence to signing/closing, managing the relevant internal and external contacts.
- You will be responsible for the organisational and content-related preparation of the Annual General Meeting, manage the overall process and ensure a legally compliant and smooth process.
- You will be the first point of contact at eye level for the Board of Directors, committees and internal stakeholders in the preparation and legal evaluation of documents and draft resolutions.
- You will be responsible for the content and legal quality assurance of draft resolutions and will be instrumental in driving the further development of internal guidelines and guidelines for their creation.
- You will be responsible for the preparation of the report of the Board of Directors as well as other relevant documentation, reports and statistics and ensure their content quality.
- You manage the cooperation with external consultants independently and keep an eye on budget, quality and timing.
- You are a fully qualified lawyer, business lawyer/graduate lawyer or have a comparable qualification with several years of relevant professional experience in corporate law.
- You have several years of in-depth experience in working with committees such as the Executive Board, Supervisory Board or Management Board and are confident and convincing.
- You have in-depth knowledge of corporate law that has been tried and tested over several years (ideally supplemented by M&A and capital markets law) and work in a structured, independent and solution-oriented manner.
- You are convincing in dealing with different internal and external stakeholders at all hierarchical levels, even in complex and conflict-ridden situations.
- You are characterized by strong communication skills, flexibility, commitment, loyalty and discretion.
- You will use your distinctive skills in process and project management in a targeted manner and also take over the technical guidance of colleagues.
- You have native German language skills and business fluency in English.
